Terms of Service

Welcome to NKTR! These Terms of Service (“Terms”) are an agreement between you and Engaged Networks LLC (“NKTR,” “we,” or “us”). They govern your use of the NKTR app, the NKTR events portal used by event organizers, and the ticketing and registration pages we provide for their events (together, the “Services”). Please read these Terms carefully. They apply to you whether you use NKTR as an attendee, as a ticket buyer, or as an organizer, and some sections apply only to organizers.

1. Acceptance of Terms

By accessing or using NKTR, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you may not use the Services. You do not need an NKTR account to buy a ticket to an event; by completing a purchase you agree to these Terms, including Section 9, for that purchase.

2. User Accounts and Registration

To use NKTR, you must create an account by providing accurate, up-to-date information. You are responsible for maintaining the confidentiality of your account information, and for any activity under your account. We reserve the right to suspend or disable your account for any reason, as deemed necessary by NKTR.

3. Connecting and Networking

NKTR allows users to connect with other attendees, event planners, sponsors, and exhibitors. By connecting with others, you agree to follow respectful and professional conduct. You acknowledge that any information shared is at your discretion and may be visible to other users as described in our Privacy Policy.

4. Notes and Profile Information

NKTR provides features for adding notes and profile details to each contact. By using these features, you agree to respect the privacy of others. You are solely responsible for the content you add, and NKTR assumes no responsibility for the accuracy or confidentiality of such information.

5. Proximity Detection

Our app may use proximity-based features to help you connect with other users nearby. These features require access to your device’s location. You can control these settings within your device preferences.

6. Privacy and Data Protection

Your privacy is important to us. All personal data shared on NKTR is subject to our Privacy Policy, which outlines how we collect, store, and use your information. We use industry-standard encryption to protect your data, and your contact details remain private unless you choose to share them.

7. Usage Rules

By using NKTR, you agree not to:

• Upload or share any content that is unlawful, offensive, or infringes upon the rights of others.
• Attempt to access other users' data without permission.
• Use the Services for any commercial purpose other than organizing, promoting, and selling tickets to your own events through the features NKTR provides for that purpose.
• Resell tickets, or buy tickets for the purpose of resale, except as the organizer of that event expressly permits.

8. Organizers and the Events Portal

Event organizers use the NKTR events portal through an organization account. If you create or join an organization, you represent that you are authorized to act on its behalf, and the organization is bound by these Terms. Organizers are responsible for the accuracy of the event information they publish, including dates, locations, prices, and capacity, for delivering the events they list, and for their own compliance with the laws that apply to their events. NKTR is not the organizer, promoter, or seller of any event listed on the Services.

9. Tickets and Payments

This section applies whenever you buy a ticket through NKTR, whether or not you have an NKTR account.

• The organizer is the seller. NKTR provides the platform through which organizers sell tickets. When you buy a ticket, your purchase contract is with the organizer of that event, not with NKTR. The charge on your statement is made on the organizer’s behalf and will normally appear under the organizer’s name.
• Payment processing. Payments are processed by Stripe. By making a purchase you also agree to Stripe’s terms. Your card details are entered into Stripe’s secure form and are never received or stored by NKTR.
• Price. You pay the ticket price shown at checkout. NKTR’s platform fee is charged to the organizer and deducted from the organizer’s proceeds; it is not added to your price. Prices are in the currency shown at checkout.
• Your ticket. Each paid ticket is issued to the named holder and delivered by email as a unique QR code. Present the QR code at the event to be admitted. A ticket admits one person once. The QR code is your proof of purchase: anyone who has it can use it, so keep it private and do not post it publicly.
• Accurate information. You are responsible for providing a correct email address and holder name for each ticket. Tickets are delivered to the email address you give us, and the organizer will use the holder name at check-in.
• Changes to a ticket. Requests to change the holder name or email on a ticket, or to transfer a ticket to someone else, must be made to the organizer, who may accept or decline them.
• Refunds. Refunds are decided and issued by the organizer, under the refund policy the organizer sets for the event. NKTR does not issue refunds on its own initiative and does not guarantee that a refund will be given. When an organizer issues a refund through NKTR, it is for the full ticket price and is returned to the original payment method; the time it takes to appear depends on your card issuer. A refunded ticket is cancelled and can no longer be used for admission.
• Cancelled or changed events. If an event is cancelled, postponed, or materially changed, your remedy, if any, is with the organizer under its refund policy. NKTR is not responsible for the occurrence, quality, safety, or content of any event.
• Chargebacks. If you have a problem with a purchase, please contact the organizer first, or email support@nktr.app so we can help. Disputing a charge with your card issuer for a ticket you used, or without first attempting to resolve the matter, may result in suspension of your access to the Services.

10. Selling Tickets Through NKTR (Organizers)

This section applies to organizers who enable ticketing.

• Payment account. To sell tickets you must complete Stripe’s account setup and agree to the Stripe Connected Account Agreement. Stripe, not NKTR, verifies your identity and holds your ticket revenue. You can sell tickets only while your Stripe account is in good standing and able to accept payments and receive payouts; NKTR may suspend ticket sales for an event or organization at any time if that stops being the case or if we reasonably suspect fraud or a breach of these Terms.
• Platform fee. NKTR charges a platform fee on each ticket sold. The standard fee is 5% of the ticket price plus $0.99 per ticket, and is deducted from each sale before the proceeds are paid to you. A different fee may apply where agreed with you in writing. Stripe’s own processing fees are separate and are set out in your agreement with Stripe.
• Payouts. Ticket revenue, less fees, is paid out to your bank account by Stripe on a weekly schedule by default, subject to Stripe’s payout timing, holds, and reserves.
• Refunds. You set the refund policy for your events and are responsible for honoring it. Refunds issued through NKTR are for the full ticket price, returned to the buyer’s original payment method. When you refund a ticket, NKTR also refunds its platform fee on that ticket. Refunding a ticket does not automatically release its seat; you control that separately in the portal.
• Chargebacks and disputes. You are responsible for the amount of any chargeback or payment dispute raised against a ticket to your event, together with any related fees, unless we agree otherwise in writing. Because card networks charge the platform first, NKTR may recover these amounts by deducting them from your ticket revenue, by reversing the corresponding transfer to your Stripe account, or by debiting your Stripe account balance, which may become negative. You agree to cooperate promptly with any dispute, including by providing evidence of the sale and of the ticket’s use.
• Taxes. You are responsible for determining, collecting, and remitting any sales, admissions, or other taxes that apply to your ticket sales. NKTR does not calculate or collect taxes on your behalf.
• Attendee information. You will receive the names, email addresses, and ticket details of your buyers and attendees. You may use this information to run and communicate about your event. You must handle it in accordance with applicable privacy law, must not sell it, and must honor unsubscribe requests. You must not use NKTR to send messages that are unlawful, deceptive, or unrelated to your events or communities.
• Your events. You are solely responsible for your events: for delivering them as advertised, for their safety and legality, for any licences or permits they require, and for any claims by attendees arising from them. You agree to indemnify NKTR against claims arising from your events, your ticket sales, and your use of attendee information.

11. App Subscriptions (Premium)

The NKTR app offers free and premium plans with different features. Premium subscriptions are purchased through the Apple App Store or Google Play as in-app purchases and are billed by Apple or Google, not by NKTR, under their terms. Subscriptions renew automatically at the end of each billing period unless you cancel at least 24 hours before renewal; you cancel and manage your subscription in your App Store or Google Play account settings, not in the NKTR app. Refunds for in-app purchases are handled by Apple or Google under their refund policies, and NKTR cannot issue them directly. If you reinstall the app or change devices, use “Restore Purchases” to reactivate a subscription you already own. We may change premium features or pricing; price changes take effect from your next billing period and Apple or Google will notify you as their policies require.

12. Portal Credits and Plans (Organizers)

Some portal features consume credits (“points”). Credits are purchased, or included in a plan, and are paid for through PayPal under PayPal’s terms. Plans renew automatically at the end of each billing period unless you cancel before renewal. Credits are consumed as you use features and are not refundable once consumed; unused credits are not refundable except where required by law or as we agree in writing. We may change the credit cost of features and the price of plans by giving notice in the portal; changes apply from your next billing period.

13. Limitation of Liability

NKTR is provided on an "as-is" basis. We are not liable for any damages or losses that may arise from your use of the Services, including but not limited to missed connections, unsuccessful networking outcomes, or technical issues. NKTR does not guarantee any specific business results or success from using the Services.

NKTR is not a party to the sale of any ticket and is not responsible for any event. To the fullest extent permitted by law, NKTR is not liable for an event being cancelled, postponed, changed, oversold, or not as described, for anything that happens at an event, or for an organizer’s refusal to refund a ticket. Where NKTR is found liable to you in connection with a ticket purchase, its total liability is limited to the platform fee NKTR received on that purchase.

14. Modifications to Terms

We may modify these Terms from time to time. When we do, we will update the "Last Updated" date at the bottom of this page. Continued use of NKTR after modifications constitutes acceptance of the updated Terms.

15. Account Termination and Suspension

We reserve the right to suspend or disable your account at our discretion, for any reason. You may also terminate your account at any time by contacting support. If an organizer’s account is suspended or closed, tickets already sold remain valid for their events unless the organizer cancels them, and the organizer remains responsible under Section 10 for refunds, chargebacks, and taxes relating to tickets it has sold.

16. Dispute Resolution

In the event of any disputes arising from the use of NKTR, you agree to resolve them through binding arbitration. Any legal actions must be brought within the jurisdiction of the courts of Collin County or Denton County, Texas, USA.
